Our typical acquisition services are grouped into four phases:

Strategy Development
The project begins with a review of your strategic direction. Our goal is to find the key strategic barriers to your growth. Resolving these strategic dilemmas, as we call them, becomes the objective of the ensuing acquisition strategy. The major steps in this phase are:

  • Assessing Financial and Operational Capacity to Complete an Acquisition
  • Formulating Acquisition Strategy and Acquisition Criteria

Opportunity Search, Approach and Letters of Intent
Next, utilizing input from Brereton, Hanley exclusive worldwide M&A network (60 IMAP affiliates), industry databases and company management, we research and identify targets that meet your screening criteria. We initiate preliminary contacts with the most promising targets and assess their strengths and weaknesses. Finally, we present letters of intent to one or more candidates that best meet the acquisition criteria. Major steps in this phase include:

  • Identifying Targets
  • Analyzing Target Companies
  • Initiating Contact and Exploring Interest
  • Performing Preliminary Due Diligence
  • Negotiating Letters of Intent

Negotiation and Closing
Working with your management team and legal advisor, we negotiate deal points that inevitably arise during the preparation of the final purchase agreement and related documents. Finally, we coordinate the close. Major steps in this phase are:

  • Completing Due Diligence
  • Preparing Agreements and
  • Facilitating the Close

Financing the Transaction
If needed, Brereton, Hanley and Company arranges acquisition financing through our network of senior and mezzanine debt lenders, and private equity groups. Major steps in this phase include:

  • Developing the Financing Elements
  • Developing the Offering Memorandum
  • Soliciting Bids and/or Term Sheets
  • Negotiating Terms and Conditions
  • Facilitating the Close
