Corporate Finance

Through our extensive relationships and experience, Brereton, Hanley and Company assists your company in restructuring your balance sheet, raising private financing in the form of debt or equity. We have an intimate knowledge of and relationships with a variety of private equity and mezzanine finance groups, which seek investments in middle-market companies. We also maintain active relationships with institutional investors, major venture capital and investment funds, foreign investors seeking equity investments in the U.S., regional and money-center commercial banks, insurance companies, pension funds, and companies seeking joint ventures. These sources provide capital ranging from equity and equity-linked instruments, to subordinated and senior debt, to lease financing and off-balance sheet financing. Strategic Valuation & Market Assessment

Our Strategic Valuation Opinion® is an essential strategic and financial planning service. We provide owners with an understanding of the current financial value of their business. We facilitate a formal strategic plan, identifying action items in light of current strengths, weaknesses, opportunities and threats. We help prioritize the logical exit structures given the potential strategic value of your company. And we tell you what you can really sell your business for in the current environment - not merely theory or academics, but a practical reality based on actual transactions and insider expertise.

Rather than "borrowing your watch to tell you what time it is", we help you get very clear on your existing strategic realities and dilemmas, your 12 and 24 month strategic goals, and help you list what it's going to take to get there - that is, what it's going to take to make your business more valuable. Finally, we outline potential transation alternatives detailing the most logical exit strategies/structures in order of priority, with the pros and cons of each. This service averages a $10,000 flat fee.

409A Valuation and Consulting Services

Section 409A is a new section of the Internal Revenue Code that deals specifically with nonqualified deferred compensation plans. It was created as part of the American Jobs Creation Act of 2004. Under this new rule, nonqualified deferred compensation plans will encounter onerous tax consequences unless the compensation meets stringent new requirements.

This Act significantly impacts equity compensation arrangements, including stock options, in addition to traditional deferred compensation arrangements. If you are in a privately held corporation that has issued stock options, you may be affected.

The Brereton, Hanley team has been engaged in Fair Market Valuations (FMV) for over 10 years. We maintain a staff of experts in high tech, retailing, marketing, food processing, construction, automotive, light manufacturing, and a host of other disciplines.

Distressed Company Advisory Service

At times, organizations face challenging situations and lenders need help resolving problem loans, especially during distressed economic periods. Both borrowers and creditors need expertise which may not be available within either organization or may be limited in scope due to legal liability. We bring a team of experienced professionals who identify key areas requiring change. Together with management, we develop proactive plans to initiate rapid change to facilitate a turn-around. In addition, we work with lenders and other interested parties to structure solutions to the major issues facing the business. In some cases, we will assist in the merger or sale of the business as an appropriate option for the company. Our approach is comprehensive and intense.
